Acceptance of Terms

By accessing or using the Verified Fit website located at verified-fit.com (the “Platform”), creating an account, or submitting any information to the Platform, you (“User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you must not use the Platform.

These Terms apply to all users of the Platform, including trainers who list their services (“Trainers”) and individuals who browse or search the Platform for fitness professionals (“Clients”). Where a distinction applies, it will be stated.

Verified Fit reserves the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes.

Nature of the Platform — Directory Services Only

Verified Fit is a technology platform that provides an online directory of independent certified personal trainers. Verified Fit’s role is strictly limited to:

• Providing a searchable directory where Trainers may list their credentials and contact information
• Making a good-faith effort to confirm that listed Trainers hold an active certification from an accepted body at the time of listing
• Facilitating discovery of independent fitness professionals by members of the public

2.1 Geographic Restriction — United States Only

Verified Fit currently operates exclusively within the United States. The Platform is intended solely for use by US-based Trainers and US residents. Individuals or businesses located outside the United States are not permitted to create listings, submit information, or otherwise use the Platform at this time.

By submitting information to the Platform, you represent and warrant that you are located within the United States and that your certification is valid for practice under applicable US law. Verified Fit reserves the right to remove any listing or deny access to any user who does not meet this geographic requirement.

Independent Contractor Status of Trainers

All Trainers listed on the Platform are independent businesses and self-employed professionals. By submitting their information and accepting listing on the Platform, each Trainer expressly acknowledges and agrees that:

• They are an independent contractor and not an employee, agent, partner, joint venturer, or representative of Verified Fit in any capacity
• Verified Fit does not direct, supervise, or control how any Trainer provides fitness services to clients
• Verified Fit does not set Trainer rates, hours, availability, training methods, or client relationships
• Trainers are solely responsible for their own liability insurance, professional liability coverage, business licenses, and any other insurance or permits required by applicable law
• Trainers are solely responsible for their own federal, state, and local taxes, including self-employment taxes
• Clients enter into direct agreements with Trainers — Verified Fit is not a party to any agreement, transaction, or relationship between a Trainer and a Client
• Verified Fit shall have no liability for any act, omission, injury, loss, or damage arising from or related to any Trainer’s services

Nothing in these Terms or in the operation of the Platform shall be construed to create an employer-employee relationship, agency relationship, or any other form of joint liability between Verified Fit and any Trainer.

Credential Verification — Scope and Limitations

4.1 What “Verified” Means

The term “Verified” as used on the Platform means that a Trainer has submitted documentation of an active certification from one of Verified Fit’s accepted certification bodies, and that Verified Fit has made a good-faith effort to confirm the authenticity of that documentation at the time of submission. Accepted certification bodies currently include: NASM, ACE, NSCA, ISSA, ACSM, and NCSF. This list is subject to change.

4.2 What “Verified” Does Not Mean

Verification does NOT constitute:

• A guarantee of the Trainer’s competence, skill, experience, or suitability for any specific individual’s fitness needs
• An endorsement or recommendation by Verified Fit of any Trainer
• Confirmation that a Trainer’s certification remains active or in good standing after the date of initial verification
• A warranty that training with any listed Trainer is safe or appropriate for any individual’s health condition
• Any assessment of a Trainer’s professional conduct, background, or character

Verified Fit is not responsible for certifications that lapse, are revoked, are suspended, or are misrepresented after the initial verification date. Users are encouraged to independently confirm a Trainer’s credential status before engaging their services.

Trainer Responsibilities and Representations

By submitting information to the Platform and maintaining a listing, each Trainer represents, warrants, and agrees that:

• All information submitted, including certification credentials, is true, accurate, current, and not misleading
• They hold a valid, active certification from an accepted body and will promptly notify Verified Fit if that certification lapses, expires, or is revoked
• They will not represent themselves as affiliated with, employed by, or acting on behalf of Verified Fit
• They are solely responsible for complying with all applicable laws, regulations, and professional standards in their jurisdiction
• They maintain adequate professional liability insurance sufficient to cover their fitness services
• They are solely responsible for the content, accuracy, and legality of their own marketing and communications with clients
• They indemnify and hold Verified Fit harmless from any claim, loss, liability, or expense arising from their fitness services, client relationships, or any misrepresentation in their listing

Health and Medical Disclaimer

Verified Fit does not provide medical advice, fitness advice, dietary recommendations, or any other professional health guidance. No content on this Platform constitutes or should be construed as medical or professional health advice.

Individual fitness results will vary. Verified Fit makes no representations or warranties regarding the fitness results, health outcomes, or experiences any individual may achieve through working with a listed Trainer.

Limitation of Liability

Verified Fit, its owners, officers, employees, agents, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to:

• Your use of or inability to use the Platform
• Any act, omission, injury, loss, or damage caused by or related to any Trainer listed on the Platform
• Any reliance on information contained on the Platform
• Any interruption, suspension, or termination of the Platform
• Any inaccuracy in or lapse of any Trainer’s credentials
• Any dispute between a Trainer and a Client

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, Verified Fit’s liability shall be limited to the maximum extent permitted by law.

In no event shall Verified Fit’s total aggregate liability to any user exceed one hundred dollars ($100.00).

Indemnification

You agree to defend, indemnify, and hold harmless Verified Fit and its owners, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your use of the Platform
• Your submission of any information to the Platform
• Your provision of fitness services or any other professional services
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any misrepresentation made by you in connection with the Platform

Intellectual Property

The Verified Fit name, logo, and all Platform content, design, graphics, and software are the property of Verified Fit and are protected by applicable intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any Platform content without express written permission.

Certification organization names referenced on the Platform (NASM, ACE, NSCA, ISSA, ACSM, NCSF, and others) are the trademarks of their respective owners. Reference to these organizations is made solely for the purpose of accurately describing the credentials held by listed Trainers. Verified Fit is not affiliated with, endorsed by, or connected to any certification organization.

Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy, available at verified-fit.com/privacy-policy.

Termination and Removal

Verified Fit reserves the right, at its sole discretion and without prior notice, to remove any Trainer listing, suspend or terminate any account, or restrict access to the Platform for any reason, including but not limited to:

• Submission of false, misleading, or inaccurate information
• Lapse, expiration, or revocation of a Trainer’s certification
• Receipt of credible complaints regarding a Trainer’s conduct or services
• Violation of these Terms
• Any conduct that Verified Fit deems harmful to the Platform, its users, or the public

Trainers whose listings are removed may submit a written request for review by contacting hello@verified-fit.com. Verified Fit’s decision on removal is final.

Dispute Resolution

In the event of any dispute arising from or related to these Terms or your use of the Platform, the parties agree to attempt in good faith to resolve the dispute informally before pursuing formal legal action. Disputes may be submitted to hello@verified-fit.com.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida. You consent to the personal jurisdiction of such courts.

Disclaimer of Warranties

Verified Fit does not warrant that the Platform will be error-free, uninterrupted, or free from viruses or other harmful components. Verified Fit does not warrant the accuracy, completeness, or reliability of any content on the Platform.

Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Verified Fit with respect to your use of the Platform and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Verified Fit’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without the prior written consent of Verified Fit. Verified Fit may assign its rights without restriction.
